Registration of companies

We offer you our services for registration of companies in the commercial register. The register is a record of traders, branches of foreign traders and any relevant particulars.

The procedure for registration of companies in Bulgaria is identical both for local Bulgarian and foreign persons.

All applications and enclosures are filed in Bulgarian but can also be submitted in any of the EU official languages accompanied by a certified translation. We will prepare all documents required for the registration and will file them on your behalf.

Sole trader (ST)

Any Bulgarian or foreign natural person residing in Bulgaria can establish an ST and the name of the company must contain the first and last name or the first or middle name of the person.


What documents are filed when registering an ST

Registration is carried out by filing an application form. You can submit it either in person or through your lawyer from International Law Office „D. Vladimirov & Partners“ (to that end you must authorize that lawyer in writing).

! The following persons cannot be registered as sole traders: those subject to an ongoing administration procedure; persons previously sentenced for bankruptcy; managers or members of governing bodies of companies declared insolvent within 2 years prior to the date of the decision by which such insolvency was announced provided that there had been unsatisfied creditors left.

Registration of companies a limited liability company (LLC/ single-person LLC)

A limited liability company (OOD) is a capital company and can be formed by two or more natural or legal persons either Bulgarian or foreign nationals. The company capital must be at least BGN 2 and the contribution of some of the partners can be in-kind.

Single-person LLC (EOOD) can be also formed by a single person.

What are the necessary documents
A written contract is concluded upon establishing the company. The registration itself is effected by filing an application form. You can ask your lawyer at International Law Office „D. Vladimirov & Partners“ to prepare the contract. Then you can authorize that lawyer to prepare and file the registration on your behalf. The lawyer will help you to achieve compliance with all statutory requirements for the establishment of OOD or EOOD whether you are a Bulgarian or foreign national. This will also facilitate the Commercial Register entry procedure. Especially in cases where you have made in-kind contributions for the establishment of OOD and you are required to obtain an expert assessment by three independent experts appointed by the Registry Agency.

Registration of a Joint-stock company (AD)

A company whose capital is divided into shares is called joint-stock company. It can be formed by one or more legal or natural persons, either Bulgarian or foreign nationals. The minimum capital required for the formation is BGN 50,000.

Ask our expert to assist you in drafting the company articles of your AD. These articles must contain the required features provided for in Art. 165 of the Commerce Act.

What are the necessary documents

Registration of a general partnership (SD)

This type of company is formed by one or more persons and it may conduct business in their professional occupation. No initial capital is required. In it, the partners share equally both responsibility and liability. A written contract is signed upon forming an SD. Partners’ signatures must be certified by a Notary Public and the contract itself must contain the required features provided for in Art. 78 of the Commerce Act.

Application signed by all partners and articles of incorporation.

Registration of a limited partnership (KD)

This is a company for doing business by one or more persons under a joint company name. Partners fall into two categories – with limited or unlimited liability with respect to the company debts. No initial capital is required for its formation.

A limited partnership is incorporated by virtue of a written contract, with notary certified partners’ signatures affixed thereunder, and containing all required features provided for in Art. 102 of the Commerce Act.

Registration of companies of a limited partnership with shares (KDA)

A limited partnership formed by at least three liable partners to whom shares are being issued against their contributions. KDA is subject to the provisions applicable to a joint-stock company.

KDA is incorporated by virtue of a contract among the partners with unlimited liability. They elect shareholders, draft the articles of incorporation and convene the constituent meeting of the company.

Branch of a foreign entity

To register a branch of a foreign entity in Bulgaria, you first need to be registered as entitled to do business under the law of the country in which you are based.

The branch is not considered a legal entity. It has a seat, registered address, managers and specific property as well as passive procedural legitimacy, can keep its own records and prepare a balance sheet. It is important to know that the place of business in which the branch operates is Bulgaria and is subject to corporate taxation.

What documents are necessary to register a branch of a foreign entity
Application form and any enclosures specified therein. Documents can be filed in Bulgarian or in any of the EU official languages accompanied by a certified Bulgarian translation.
